AMERICAN INTERNATIONAL INDUSTRIES, INC. SUBSIDIARY
TO RECEIVE $2,000,000 FROM SALE OF REFINERY
Kemah, Texas – July 21, 2006 American International Industries, Inc. (OTCBB: AMIN),
today announced that in September 2005, YUMA Production Company ("YUMA") and International American Refineries, Inc. ("IARI"), a wholly owned subsidiary of American International Industries, Inc., were negotiating to acquire a 10,000 barrels per day refinery in Nixon, Texas from its owner, Notre Dame Investors, Inc. ("Notre Dame"). All documents, including the Bill of Sale, were agreed to and signed, the documents were recorded in Wilson County, Texas and the consideration was tendered. Shortly thereafter, in order to try and rescind the transaction, Notre Dame filed for bankruptcy protection in the Federal Bankruptcy Court, San Antonio, Texas. YUMA, on behalf of itself and IARI, filed claims in the Bankruptcy Court demanding specific performance based on its agreements with Notre Dame and other damages. The Bankruptcy Judge ruled that the refinery should be sold/auctioned-off. The refinery was sold to third parties for the consideration of $16,050,000 and the Judge ordered, adjudged and decreed that YUMA’s allowed unsecured claim be limited to voting claim of $4,000,000 for the purposes of any proposed Chapter 11 Plan of Reorganization. Upon funding, YUMA will share said amount on a 50/50 basis with our subsidiary IARI. Based on the Bankruptcy proceedings, the Company expects funding could take place within the next 30 days.
